1. Scope

These Terms of Service govern all orders placed via the website www.noiresoiree.com and apply to the purchase and use of products offered by NOIRE SOIRÉE, LDA. By accessing our website, placing an order, or otherwise interacting with our services, you agree to be bound by these Terms. These Terms apply worldwide. Where mandatory consumer protection laws of your country of residence grant you additional rights, such protections remain unaffected.

⁠2. Products and Availability

All descriptions, images, and specifications are for informational purposes only. Minor variations in packaging, materials, or colour may occur due to manufacturing tolerances or screen display differences. Such variations do not constitute defects.

3. Orders and Contract Formation

By submitting an order through our website, you make a legally binding offer to purchase the selected product. A purchase contract is concluded only once we confirm your order by email. This confirmation constitutes acceptance of your offer. We reserve the right to reject or cancel orders at our discretion, particularly in cases of suspected fraud, pricing errors, delivery limitations, or stock unavailability. Where an order is cancelled after payment has been received, a full refund will be issued without undue delay.

4.⁠ ⁠Prices and Payment

All prices are displayed in the store currency set on our website and include applicable VAT where required by law. Payment must be made in full prior to fulfilment. We accept payments via Shop Pay and other secure payment methods made available at checkout. Payment on delivery and instalment plans are not offered.

5.⁠ ⁠Shipping and Delivery

Digital Products:

Digital products are delivered electronically worldwide. Customers will receive an email immediately after purchase with a personal access link and password to the digital content, hosted on a secure third-party platform. No shipping fees apply.

6.⁠ ⁠Right of Withdrawal and Returns

Digital Products (Worldwide):

Purchases of digital products are strictly non-refundable once access has been granted. By completing your purchase, you expressly agree that delivery begins immediately and that you waive your right of withdrawal for digital content not supplied on a tangible medium, in accordance with the UK Consumer Contracts Regulations and Article 16(m) of the EU Consumer Rights Directive.

Where access issues occur, customers must notify us within 7 days of purchase. We will reissue access credentials or otherwise provide technical support. If delivery cannot be completed despite reasonable attempts, we will provide a full refund.

7.⁠ ⁠Intellectual Property

All content on our website, including product designs, text, images, layout, and brand elements, constitutes the intellectual property of NOIRE SOIREE, LDA. No part may be copied, distributed, modified, or reused without our prior written consent.

8.⁠ ⁠Limitation of Liability

Our liability for damages is limited to cases of intentional misconduct or gross negligence. In cases of slight negligence, we are liable only for breaches of essential contractual obligations and only for foreseeable damages typical for this type of contract. We are not liable for indirect or consequential damages, including but not limited to emotional distress, loss of enjoyment, or misuse by third parties. This limitation does not affect your statutory consumer rights.

10.⁠ ⁠Applicable Law and Jurisdiction

These Terms of Service are governed by the laws of Portugal, excluding its conflict-of-law provisions. If you are a consumer residing in the United Kingdom or another jurisdiction, you retain the benefit of mandatory consumer protection provisions applicable in your place of residence. 

We are neither obligated nor willing to participate in alternative dispute resolution proceedings before a consumer arbitration body.
